Cold Storage Lease Agreement is a vital commercial contract that regulates the rights and obligations of the cold storage owner and the lessee, aiming to protect the legitimate interests of both parties, standardize leasing practices, and ensure the smooth operation of cold storage rental business. A well-drafted cold storage lease agreement is typically formulated in accordance with the Civil Code of the People's Republic of China and relevant laws and regulations, covering the following core terms:



First, the basic information and intended use of the cold storage. The contract shall specify the exact location, floor area, number of compartments, and the list of attached equipment and facilities (such as refrigeration units, insulation systems, shelving, etc.). Additionally, the permitted use of the leased property must be strictly stipulated; the lessee must use the cold storage in compliance with its designed purpose and applicable laws and regulations, and shall not alter the structure or change the use of the cold storage without authorization.


Second, the lease term and rent payment. The contract shall clearly define the commencement and expiration dates of the lease, as well as any rent-free fit-out period (if applicable). Regarding rent, the contract shall specify in detail the rent rate, escalation provisions, payment frequency (e.g., monthly or quarterly), and the designated bank account information. In addition, the lessee is typically required to pay a performance deposit (security deposit). If no breach occurs during the lease term, the deposit shall be refunded in full without interest upon expiration; in the event of breach or overdue rent, the lessor has the right to deduct from the deposit accordingly.


Third, delivery, use, and maintenance of the cold storage. The lessor shall deliver the cold storage in a condition suitable for normal use within the agreed timeframe after receiving the deposit and the first installment of rent, and both parties shall sign the “Site Handover Checklist”. Regarding maintenance responsibilities, the lessor is generally responsible for the main structure of the cold storage and routine repairs, while the lessee is responsible for daily cleaning, management, fire safety, and routine maintenance of ancillary facilities and equipment during the lease term, as well as bearing all related expenses such as water, electricity, and property management fees. If equipment damage occurs due to the lessee’s improper use, the lessee shall bear the repair costs or provide compensation.


Fourth, renovation and termination of the contract. If the lessee needs to renovate or modify the cold storage facilities for operational purposes, prior written consent from the lessor must be obtained, and the main structure must not be compromised. All related costs shall be borne by the lessee. Regarding contract termination, if the lessee subleases the cold storage without authorization, fails to pay rent within the stipulated period, uses the cold storage for illegal activities, or damages the facilities and refuses to repair them, the lessor has the right to unilaterally terminate the contract and take back the cold storage. Conversely, if the lessor fails to provide the cold storage as agreed or interferes with its normal use, the lessee has the right to terminate the contract and claim compensation.



Finally, liability for breach of contract and dispute resolution. Both parties shall strictly perform their obligations under the contract. Any party in breach shall bear the corresponding liquidated damages and compensate for losses incurred. In the event of disputes arising during the performance of the contract, the parties typically agree to first resolve them through negotiation; if negotiation fails, either party may initiate legal proceedings in a competent people’s court. It is recommended that both parties carefully review the equipment list and handover status before signing the contract to ensure clear terms and well-defined rights and responsibilities, thereby effectively avoiding future disputes.
